What are the steps in selling a business?

Due diligence is the buyer's process for verifying the information provided by the seller. During this stage, buyers review financial statements, contracts, customer relationships, tax records, legal matters, employee information, and other aspects of the business.

Preparing documentation before beginning the sale process can make due diligence more efficient and reduce the likelihood of delays or renegotiations.

What happens before closing?

After due diligence is complete, attorneys prepare the definitive purchase agreements and any related employment, consulting, financing, or transition documents. Financing is finalized, closing conditions are satisfied, and both parties prepare to transfer ownership.

Depending on the transaction, the seller may remain involved for a transition period to help introduce customers, train the buyer, or support operational continuity.

A structured sale process creates consistency from the initial valuation through closing. It helps ensure buyers receive comparable information, deadlines are managed, and negotiations proceed in an organized manner.
